Yes, you will need to download Oracle 10g software in order to upgrade your database. This is basically the first step. You will then need to install the Oracle 10g software on the server where you will be performing the database upgrade.
There is an Oracle Database Upgrade Guide 10g Release 2 (10.2) available on Oracle Technology Network which details what you need to do to prepare for the upgrade, the actual upgrade process and any post-upgrade tasks that must be performed. The guide can be found here.
The one piece of advice I feel compelled to offer is to ensure that you not only test the upgrade process multiple times, but also ensure that all affected applications are tested by the application support team as well as business users.
