You've given me very little information about your environment (what release you're planning to upgrade from, what your operating system is, etc.) and your question is quite broad, so I would suggest that your first step be to read through the official documentation for Oracle Applications Release 12. Under the Maintenance section near the top of the page, you will find the Oracle Applications Upgrade Guide: Release 11i to Release 12 guide. This would be a good place to start.
